Intermap Technologies Moves to Fully Acquire PCI Geomatics in $11 Million Deal

Intermap Technology ( (TSE:IMP) ) has provided an announcement

On July 28, 2026, Intermap entered into an arrangement agreement with PCI Geomatics Group Inc. and major PCI shareholder Grenadier Investments Limited to acquire all PCI shares it does not already own for $11 million in cash, less transaction expenses. The deal will be executed through a court-approved plan of arrangement under the Canada Business Corporations Act, with detailed post-closing price adjustments and indemnity escrows built into the structure.

A special meeting of PCI shareholders will be convened to vote on the transaction, which requires supermajority shareholder approval, additional minority approval under Canadian securities rules, and clearance from the Ontario Superior Court of Justice before closing. Intermap has secured voting support agreements from Grenadier and PCI’s directors and officers covering 81.25% of voting shares, while non-solicitation covenants limit PCI from pursuing rival bids, highlighting Intermap’s move to consolidate a key technology partner and deepen its position in the geospatial imaging sector.

Under the planned acquisition, PCI’s president and CEO June McAlarey is expected to remain in her role and take on expanded responsibilities as an executive vice president at Intermap, overseeing commercial operations. The transaction, which can be terminated under specified conditions and must be completed by November 30, 2026, signals Intermap’s strategic effort to integrate PCI’s satellite imagery processing capabilities, strengthening its product stack and potentially enhancing value for customers and investors in the geospatial technology space.
